Zack is an employee benefits and executive compensation attorney who advises clients on the full range of benefits-related matters. He brings hands-on experience from both the buy side and sell side of deals, and he also advises plan sponsors on the design, implementation, and compliance of employee benefits plans and compensation arrangements. This gives Zack a well-rounded perspective on the challenges his clients face at every stage of a transaction.

Zack focuses on identifying and addressing risk before it becomes an issue. He conducts thorough due diligence to uncover potential tax exposures, including Code Section 280G liabilities, as well as other statutory and regulatory exposures such as those under ERISA, the tax code, and the Affordable Care Act. He also evaluates nonqualified deferred compensation arrangements, equity awards, and equity incentive plans for compliance with Code Section 409A.

When deals close, Zack is there to help clients navigate what comes next. He works closely with plan administrators and a plan’s service providers to facilitate the implementation of benefits plans for post-merger operations. Zack also counsels plan fiduciaries on their fiduciary duties, and he assists plan sponsors with drafting participant communications to help fiduciaries meet their obligations.

When I’m not in the office, you’ll likely find me exploring a weekend farmers market with my wife, daughters, and our dog. You can also find me scouting out a Los Angeles hidden gem for dinner. I’m a firm believer that life is too short for a bad meal, a philosophy I carry with me whether I’m eating locally or on an international adventure.

My downtime is defined by a lifelong love for sports, from cheering on my New York Yankees to a game of pick-up basketball. I’m always happy to connect over a shared travel story, a great restaurant tip, or a recap of last night’s game.
