Rory is a corporate and finance attorney who sees deals from both sides of the table. With hands-on experience in both financing and mergers and acquisitions, he brings practical, cross-disciplinary insight to the firm’s commercial finance work.

Rory is a key contributor when it comes to keeping transactions structured and on track. He drafts and negotiates documents for acquisition financings, including joinders, amendments, security agreements, promissory notes, and payoff letters. He also conducts due diligence on authority to borrow and grant liens.

To complement his finance work, Rory leverages his M&A experience, including leading legal due diligence for corporate acquisitions, drafting and revising transactional documents, and coordinating with attorneys across tax, real estate, employment, intellectual property, data privacy, and other practices. On the review side, his work includes examining target company records and commercial contracts to identify structural issues and assess implications of transfer restrictions and change of control provisions.
