Tom is a corporate attorney who focuses on M&A, private equity transactions, corporate counseling, and corporate restructurings. In his M&A work, clients call on Tom to draft legal diligence memoranda for acquisitions, develop transactional disclosure schedules, and conduct document and contract review. His general corporate practice consists of drafting legal documents for clients in various industries, ranging from external documents like non-disclosure or supply agreements to internal corporate governance documents.

In his corporate restructuring practice, Tom has counseled investment banks and asset management firms about best practices in large commercial litigation lending and fraudulent conveyance law. He drafts restructuring documents, including receivership motions, forbearance agreements, stalking horse bid procedures, and preference defense motions.

Tom's experience spans a broad range of industries such as private equity, waste management, restaurant groups, maritime transportation services, commercial real estate, and pharmaceutical/private health care providers.

While in law school, Tom served as a legal intern at the American Medical Association. He has published legal articles regarding bankruptcy discharge injunction violations and water permit rights.

Much More Than My Work

I am a volunteer with Legal Aid Chicago’s Criminal Records Relief Project, drafting petitions for sealing and expungement. I also participated in the D.C. Schools Project, mentoring and tutoring at-risk Hispanic youth.
