Tom is licensed only in the State of Nevada.
Tom is a corporate attorney who focuses on M&A, private equity transactions, and corporate restructurings. Clients call on him to draft legal diligence memoranda for acquisitions, develop transactional disclosure schedules, and conduct document and contract review.
Tom counsels investment banks and asset management firms about best practices in large commercial litigation lending, the interplay of dividend recapitalizations and fraudulent conveyance law, and use of the collapsing doctrine in corporate restructurings. He drafts restructuring litigation documents including receivership motions, forbearance agreements, stalking horse bid procedures, and preference defense motions. Tom's experience spans a broad range of industries such as maritime transportation services, commercial real estate, and pharmaceutical and private health care providers.
While in law school, Tom served as a legal intern at the American Medical Association. He has published legal articles regarding bankruptcy discharge injunction violations and water permit rights.
He is proficient in spoken and written Spanish.
