Jeffrey A. Jung
Jeff is a corporate and transactional attorney who represents private and public corporations, financial institutions and investment banks in a wide variety of securities, finance and general corporate matters. Jeff has more than 25 years of experience protecting the best interests of borrowers and lenders engaged in traditional lending, asset securitization and structured finance transactions.
Jeff counsels clients in secured financings in a variety of industries, with particular emphasis on health care and technology-focused transactions involving health care royalty, revenue-interest and related hybrid financing structures. He has done extensive work with banking clients, including handling term loans, revolving credit facilities and letters of credit.
Jeff advises borrowers in a wide variety of circumstances, including as originators of financial assets and as borrowers under asset-based and cash flow models, in acquisition facilities and under mezzanine and subordinated structures. Jeff has also represented credit enhancers and investors in securitization portfolios and counseled participants in cross-border tax advantaged financing structures.
As part of his health care royalty and general lending practices, Jeff represents investors, lenders, borrowers and credit enhancers in workouts and bankruptcy reorganizations. In the corporate arena, he counsels clients on real estate transactions (financing, leasing and restructuring), M&A activity (buy side and sell side), entity selection, formation and capitalization (with an emphasis on proper structuring for growth and potential future exits), governance, technology transfers (including in-bound and out-bound licensing), IP portfolio assessment, and aircraft leasing and finance.
