Ursha draws on 20 years of legal experience in the United States and abroad. She represents clients in complex corporate transactions, mergers and acquisitions, joint ventures, and private equity deals.

She routinely represents private equity funds and investors on both sides of M&A transactions and handles day-to-day legal work for middle-market portfolio companies. Ursha also provides general business counseling and helps entrepreneurs, investors, and family-owned businesses with general corporate questions, commercial contracts, lease agreements, employment questions, and financing needs. She acts as outside general counsel to many privately held businesses and spent several months on secondment to an in-house legal department of a Midwestern bank.

Informed by years of experience and understanding of current market terms and trends, Ursha advises clients in a variety of industries, including health care, life sciences, software, technology, manufacturing, insurance, apparel, food, construction, and professional services, among others.

Ursha’s diverse and international background helps her effectively negotiate with attorneys from large, international law firms to small legal practices alike. Recently, she advised Blue Marble Payroll, a leading global payroll provider, in its sale to publicly traded Paylocity, a provider of human resources and payroll software solutions. She also represented an international company creating and manufacturing interactive displays and creative marketing solutions in its sale to a private equity buyer in the United States.

A native of Slovenia, Ursha helps Slovenia and other foreign companies do business in the United States. She has hosted several international business delegations in Chicago and is working with the Slovenian Consulate General in Cleveland and Slovenian business owners to promote their businesses in the United States. Prior to joining Much, she represented Fortune 100 companies in their global M&A and cross-border transactions at an international law firm.

Ursha earned a J.D. from Northwestern School of Law, an LL.M. from the University of Chicago, a master's in law from the Heidelberg University in Germany, and a doctorate in law in Slovenia. Understanding the language, culture, and legal landscape of multiple countries informs the cross-border transaction counsel she provides to international clients.

Ursha serves as co-chair of the Much Women’s Initiative, supporting women attorneys and professionals in the legal field and private equity. She is also active in the firm’s culture task force and its summer associate program. Ursha serves as a mentor to Much junior associates, summer associates, former students, and other young attorneys within the firm as well as outside of it.

An adjunct professor at Chicago-Kent College of Law, Ursha teaches contract drafting for J.D. students and legal research and writing for international students. She also periodically speaks at Northwestern Pritzker School of Law.

Much More Than My Work

I love traveling, exploring new cultures, and meeting people from around the world. I spend my free time with my children, skiing, hiking, biking, traveling, and playing games.

I am dedicated to supporting foreign companies entering and doing business in the United States. To this end, I have hosted foreign business delegations visiting Chicago and have been working with the Slovenian Consulate General in Cleveland and Slovenian business owners in the Midwest to promote the country’s businesses in the USA.

I am actively involved in the Chicagoland Slovenian community, where I have volunteered in many capacities, including as a board member, language teacher, and a principal of the Slovenian School.

I love giving back to the community by teaching and mentoring the younger generations, and providing pro bono legal services to underserved individuals and organizations. As a member of the firm’s pro bono team, I advised the Lynn Sage Cancer Research Foundation on its merger with the Lynn Sage Foundation in 2019. These resulting Lynn Sage Breast Cancer Foundation continues the good work of raising funds for research and education to prevent breast cancer and help those facing breast cancer.

As part of my academic career, I helped establish and manage the first legal clinic at the University of Ljubljana School of Law in cooperation with the U.N. High Commissioner for Refugees, the Slovenian Ministry of the Interior, and local non-governmental organizations.
