AT WORK

Vildana Kujundjic represents clients in a broad range of commercial transactions, including mergers, acquisitions, joint ventures, divestitures and the formation of corporations, limited liability companies and partnerships. Vildana also negotiates and drafts key corporate agreements, including operating, financing, confidentiality, non-disclosure, employment and vendor agreements.

With a strong background in securities law, Vildana advises clients on stock restructurings, insider trading and compliance with NASDAQ and New York Stock Exchange listing standards. She drafts stock purchase agreements, shareholder agreements and private placement memoranda, and provides guidance on fiduciary duties to shareholders. She regularly counsels clients on SEC, Sarbanes-Oxley and other regulatory matters, and prepares and files forms 8-K, 10-K and 10-Q, as well as proxy statements and other periodic reports.

Vildana’s clients have included small and mid-sized public and privately held businesses and private equity funds. She has specific experience in the multimedia and broadcasting industries, and has counseled clients on licensing and broadcasting agreements, compliance with FCC regulations, and radio and broadcasting rights.

IN THE PROFESSION

While in law school, Vildana received the Chicago-Kent Merit Scholarship and served on the editorial staff of the Chicago-Kent Journal of Intellectual Property Law.
