AT WORK

A certified public accountant and transactional attorney with nearly 30 years of experience, Steven Schwartz is former Chair of the firm’s Business & Finance practice group and is a member of the Management Committee.

Steve’s corporate practice encompasses mergers and acquisitions; corporate finance, including public and private offerings of debt and equity; secured lending; and other business and financial transactions for a wide range of clients such as public companies, privately held businesses, entrepreneurs and emerging companies. His mergers and acquisitions practice encompasses stock and asset acquisitions and divestitures, management and leveraged buyouts, and strategic joint ventures.

As a tax lawyer, Steve counsels clients with respect to tax considerations that arise in connection with mergers and acquisitions, compensation and benefit planning, structuring and forming partnerships and limited liability companies, and entity selections. Steve also assists clients in the formation of various tax-exempt organizations.

IN THE PROFESSION

Steve is an active member of the Chicago Bar Association (Federal Taxation and Corporate Law Sections), the American Bar Association (Federal Taxation Section) and the Illinois State Bar Association. He has been recognized by the Leading Lawyers Network as a top Illinois lawyer in the areas of closely and privately held business law, mergers and acquisitions, corporate finance and tax law (2005-2008). Steve has also been designated an Illinois Super Lawyer (2005-2007), an honor given to the top 5% of attorneys in the state.

A frequent speaker at tax conferences, Steve has taught taxation at Roosevelt University.

Steve is the author of “Partnerships — Taxable Income in Distributive Shares,” published in BNA’s Tax Management Portfolio 282-2d; and “Five Tax-Wise Techniques for Gifts to Charities,” published in the journal Practical Accountant. Steve is a contributing author for Litigators’ Tax Guide, published by Wiley Law Publications. 

IN THE COMMUNITY

Steve serves as a member of the School Board for Deerfield, Illinois District 109, and is a member of its finance, negotiation, policy and facilities development committees. Prior to becoming a board member, Steve served on various special committees for Deerfield School Districts 102 and 109. He also participates in fund-raising activities for various local and national organizations, including One Step At A Time, Deerfield Education Foundation and American Liver Foundation.
