Don S. Hershman is a member of the firm’s Management Committee, and has extensive experience in a wide range of securities and corporate finance matters, mergers and acquisitions, and other business and financial transactions. Don's mergers and acquisitions practice encompasses stock and asset acquisitions and divestitures; management and leveraged buyouts; and contests for corporate control, including tender offers and proxy solicitations.
 
In the area of securities law, Don's work includes initial public offerings; private equity and venture capital financings; public and private offerings of debt and equity; representation of real estate limited partnerships and REITs; and counseling clients concerning governance matters, securities law compliance and disclosure, executive compensation, fiduciary duties and strategic planning.

IN THE PROFESSION

A member of the American Bar Association (Section of Business Law) and the Illinois State and Chicago Bar Associations, Don is a registered Certified Public Accountant in Illinois. He has also been recognized by the Leading Lawyers Network as a top Illinois lawyer in the areas of corporate finance, mergers and acquisitions, and securities and venture finance (2007-2008).

Don contributed to the Governance and Oversight section of the 2008 edition of the Family Business Shareholder’s Handbook. His chapter, titled “Professionalize Your Family Firm,” examines how instituting effective governance and managing family dynamics can help companies improve performance and plan for succession.
